Terms and conditions

1. Scope of Application

1.1 All deliveries from Leopold Parts ApS ("Seller") are made in accordance with these general terms and conditions of sale and delivery, unless otherwise agreed in writing.

1.2 For sales of stainless steel components, including custom-made goods or goods that must be specifically procured or processed, the Seller's obligations are limited to the rights the Seller obtains from its supplier.

1.3 These terms and conditions of sale and delivery do not apply to deliveries where a separate written agreement exists.

2. Offers and Order Confirmation

2.1 Offers are made with an acceptance period of 8 days and subject to prior sale. Offers and documentation may not be disclosed to third parties without written agreement.

2.2 An order is binding on the Seller only when a written order confirmation has been issued.

3. Prices

3.1 All prices are exclusive of VAT, freight, packaging, and other charges and are stated in Danish kroner (DKK).

3.2 Leopold Parts ApS reserves the right to change price lists and fees without notice.

4. Return Conditions

4.1 Standard goods may be returned by prior agreement. Custom-made goods and procured goods are non-returnable. Returns are at the buyer's expense and risk.

5. Quality

5.1 The Seller delivers components in normal, good commercial quality unless otherwise agreed in writing.

5.2 The Seller is not responsible for whether the product is suitable for the buyer's intended purpose.

6. Delivery and Delivery Time

6.1 Delivery is made EXW (Ex Works) from the Seller's warehouse, unless otherwise agreed in writing.

6.2 Delays only entitle the buyer to cancel the relevant part of the agreement if delivery does not take place within a reasonable period.

7. Duty to Inspect and Notice of Defects

7.1 The buyer must immediately upon receipt inspect the goods and notify in writing in case of defects.

7.2 If timely notice is not given, the buyer’s rights regarding the defect lapse.

8. Liability for Defects

8.1 The Seller may, at its own discretion, remedy defects by repair, replacement, or a reduction in price.

8.2 Compensation cannot exceed 15% of the purchase price for the defective part of the delivery.

9. Force Majeure

9.1 The Seller is not liable for delays or defects due to force majeure, including strikes, fire, war, transport conditions, or other external circumstances.

10. Product Liability

10.1 The Seller is only liable to the extent that mandatory statutory provisions on product liability apply.

10.2 Leopold Parts ApS is not liable for loss of operations, loss of profit, or other indirect losses.

11. Payment and Retention of Title

11.1 Payment is due upon delivery unless otherwise agreed in writing.

11.2 The goods remain the property of Leopold Parts ApS until full payment has been received.

12. Jurisdiction and Governing Law

12.1 Any dispute shall be settled under Danish law with exclusive jurisdiction at the court in the judicial district where Leopold Parts ApS has its place of business. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
